Notice is given that the Annual General Meeting (AGM) of Indigenous Art Code Limited (ACN 139 788 711) will be held on level 1 at Northsite Contemporary Arts, Bulmba-ja arts centre, 96 Abbott, Gimuy/Cairns City, Queensland, Australia on: 

Tuesday 3 December 2024 at 3:00 pm Australian Eastern Standard Time (AEST). 

At the AGM, two new member-appointed Code Signatory Directors will be elected and a resolution will be put forward to amend the IartC Constitution. 

Members who are unable to attend the AGM may appoint a proxy to vote on their behalf (link to form below).

Notice of Meeting of Code Signatories

Immediately following the AGM, a separate meeting for Code Signatories will be held at the same venue and using the same teleconference details. Only Code Signatories and directors of IartC will be permitted to attend the Meeting of Code Signatories. 

At this meeting a special resolution will be put forward for Code Signatories to approve amendments to the Indigenous Art Code. Rule 8 of the existing constitution provides that the rights or obligations of Code Signatories contained under the Code may be varied or cancelled only if, at a meeting of Code Signatories, a resolution in favour of that variation or cancellation is passed by special resolution. As signatories to the Code, Code Signatories’ obligations are directly impacted by any changes to the Code. Accordingly, only Code Signatories will be permitted to vote.

Code Signatories who are unable to attend the Meeting of Code Signatories in person may appoint a proxy to vote on their behalf.
